Overview

These Terms of Service ("Terms") govern your use of the bookkeeping services provided by Financial Clarity Co. ("we," "us," or "our"), and of the internal task management application we operate to support that work (the "Application"). By engaging our services or, if you are a member of our staff, by using the Application, you agree to these Terms.

Our Services

Financial Clarity Co. provides bookkeeping services to small and growing businesses, including transaction categorization, reconciliation, and related financial recordkeeping support. The specific scope of services provided to a given client is set out separately (for example, in an engagement letter or service agreement with that client), and these Terms do not replace or override any such agreement.

The Application

The Application is an internal tool used by our own staff to track client work, communicate with clients, and, where a client has connected their QuickBooks Online account to us, to view posted transactions, flag transactions that need clarification, and record corrected categorization back to QuickBooks Online once a question has been resolved. The Application is not a public product — it is not offered for sale, sublicense, or independent use outside of our provision of bookkeeping services.

Where the Application connects to a client's QuickBooks Online company, that connection is established only with the client's authorization through QuickBooks' own sign-in and permission screens, and can be disconnected by the client or by us at any time. We access QuickBooks data solely to provide the bookkeeping services described above.

Client Responsibilities

Clients are responsible for providing accurate and complete financial records and information needed for us to perform bookkeeping services, and for reviewing categorizations, reports, and other work product we provide in a timely manner. Clients remain responsible for their own tax filings and compliance obligations; our services do not constitute tax, legal, or investment advice.

Communications

With a client's consent, we may communicate about their bookkeeping work by email, phone, text message, or WhatsApp. Our Privacy Policy describes how we handle this contact information, including how to opt out of text messages at any time.

Intellectual Property

The Application, and all software, design, and content associated with it, are the property of Financial Clarity Co. Nothing in these Terms grants any license to the Application beyond what is necessary for our staff to provide bookkeeping services to our clients.

Disclaimer & Limitation of Liability

We take reasonable care in providing our services and operating the Application, but we do not guarantee that the Application will be uninterrupted or error-free. To the fullest extent permitted by law, Financial Clarity Co. is not liable for indirect, incidental, or consequential damages arising from use of the Application or our services, beyond the fees paid for the specific services giving rise to a claim.

Termination

Either party may end a bookkeeping engagement in accordance with the terms of that engagement. We may disconnect a QuickBooks Online connection, or discontinue use of the Application for a given client, at the conclusion of an engagement.

Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision.

Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of laws principles.
